| Charif Souki is a Director, Chief Executive Officer and Chairman of the Board of our general partner. Mr. Souki, a co-founder of
Cheniere Energy, Inc., is Chairman of Cheniere’s board of directors and Chief Executive Officer of Cheniere. Since
December 2002, Mr. Souki has been the Chief Executive Officer of Cheniere, and he was also President of
Cheniere from that time until April 2005. From June 1999 to December 2002, he was Chairman of the board of
directors of Cheniere and an independent investment banker. From September 1997 until June 1999, he was
co-chairman of the board of directors of Cheniere, and he served as Secretary of Cheniere from July 1996 until
September 1997. Mr. Souki has over 20 years of independent investment banking experience in the industry and
has specialized in providing financing for small capitalization companies with an emphasis on the oil and gas
industry. Mr. Souki received a B.A. from Colgate University and an M.B.A. from Columbia University.
James D. Bennett is a Director of our general partner. Mr. Bennett is a Managing Director with GSO Capital Partners and has been involved in many of GSO's private equity and mezzanine investments in the energy industry. He is based in Houston. Prior to joining GSO Capital Partners, Mr. Bennett served as the CFO of Aquilex Service Corporation, which provides specialty repair services to refining and power generation facilities worldwide. Prior to that, Mr. Bennett was vice president of operations at Exario Networks. Before that Mr. Bennett spent over five years in the investment banking group of Donaldson, Lufkin & Jenrette where he was involved in transactions for companies in all segments of the energy industry. Mr. Bennett started his career in corporate banking at NationsBank. Mr. Bennett received a BBA in Finance from Texas Tech University and currently serves as a Director of United Engines and Crestwood Midstream Partners.
Michael E. Bock is a Director of our general partner. He is also a member of the Audit Committee and the Conflicts Committee. Mr. Bock was a Managing Director in the Global Energy and Power Group at Merrill Lynch from December 2006 to April 2009. Prior to that, he was a Principal and head of Corporate Finance at Petrie Parkman & Co., an investment bank specializing in the energy industry. Mr. Bock earned a bachelor of arts from Harvard University in 1987. He is also a Chartered Financial Analyst, a member of the Association for Investment Management and Research, the Denver Society of Securities Analysts, and a member of the board of directors of the Independent Petroleum Association of Mountain States.
Meg Gentle is a Director and Chief Financial Officer of our general partner. She has served as both Manager and then Vice President of Strategic Planning of
Cheniere since June 2004. Prior to joining Cheniere, Ms. Gentle spent eight years in energy market development, economic evaluation and long-range planning. She conducted international business development and strategic
planning for Anadarko Petroleum Corporation, an oil and natural gas exploration and production company, for six
years and energy market analysis for Pace Global Energy Services, an energy management and consulting firm,
for two years. Ms. Gentle received her B.A. in economics and international affairs from James Madison
University and an M.B.A. from Rice University.
Graham A. McArthur is Vice President and Treasurer of our general partner. Mr. McArthur is Vice President and Treasurer of
Cheniere. He became a Vice President of Cheniere in January 2005 and has served as Treasurer of Cheniere since
December 2004. Prior to joining Cheniere in 2004, Mr. McArthur was with Westlake Chemical Corporation
since 1996, serving most recently as Assistant Treasurer. He began his career in commercial banking in 1987
before moving into a corporate treasury role in 1991. Mr. McArthur received a B.B.A. in finance from Texas
A&M University in 1987 and an M.B.A. from the University of Houston in 1990.
Lon McCain is an Independent Director of our general partner. He also serves as
chairman of the Audit Committee and member of the Conflicts Committee
of our general partner. Mr. McCain was Vice President,
Treasurer and Chief Financial Officer of Westport Resources Corporation, a publicly traded exploration and
production company, from 2001 until the sale of that company to Kerr-McGee Corporation in 2004. From 1992
until joining Westport, Mr. McCain was Senior Vice President and Principal of Petrie Parkman & Co., an
investment banking firm specializing in the oil and gas industry. From 1978 until joining Petrie Parkman,
Mr. McCain held senior financial management positions with Presidio Oil Company, Petro-Lewis Corporation
and Ceres Capital. He is currently on the board of directors of Transzap, Inc, a provider of digital data and
electronic payment solutions, and Crimson Exploration, Inc., an independent oil and gas company. Mr. McCainreceived a B.S. in business administration and a Masters of Business Administration/Finance from the University
of Denver. Mr. McCain was also an Adjunct Professor of Finance at the University of Denver from 1982 to 2005.
Jerry Smith is Chief Accounting Officer of our general partner. Mr. Smith began his career with Cheniere in April 2006 as Assistant Controller of the Company. From 2007 to 2008 Mr. Smith served as Financial Controller of the Company and in April 2008 he was elected Vice President and Chief Accounting Officer of Cheniere Energy, Inc., by the Company's board of directors. Prior to joining the Company, Mr. Smith was employed by KPMG LLP, where he served as a Manager, Audit, from 2004 to 2006 and a Senior Associate, Audit, from 2002 to 2004. From 1999 to 2005 Mr. Smith worked for Arthur Andersen LLP. Mr. Smith received his Masters of Accountancy and Bachelor of Business Administration from Abilene Christian University. He is also a Certified Public Accountant in the State of Texas.
Robert J. Sutcliffe is an Independent Director of our general partner. He also serves as
chairman of the Conflicts Committee and member of the Audit Committee
of our general partner.
Mr Sutcliffe, a lawyer and business advisor based in Los Angeles, is the Managing Director of
Craftsman Capital Advisors LLC, and specializes in representation of entrepreneurs and venture investors. Mr. Sutcliffe was, until 1989, a partner and chairman of the corporate practice group in the Los Angeles office of
Brobeck, Phleger & Harrison, where his practice focused on venture capital, corporations and securities. He then
served as Congressional Chief of Staff to the Honorable Christopher Cox of California until 1990. He is a
director of Innovative Card Technologies, Inc., a public company that develops technologies to enhance payment
card functionality. He formerly served as non-executive Chairman of Miravant Medical Technologies, a public
pharmaceutical development company. Mr. Sutcliffe received a B.A. in political science and international
relations from the University of California, Los Angeles and a J.D. from Harvard Law School.
R. Keith Teague is a Director, President and Chief Operating Officer. Mr. Teague began his career with Cheniere in 2004 as Director of Facility Planning, and became President of Cheniere Pipeline Company in 2005, responsible for the development, construction and operation of the Creole Trail Pipeline. He assumed responsibility for combined LNG terminal and pipeline operations in April 2008, and also serves as President of Sabine Pass LNG, L.P. Mr. Teague has over 20 years of business planning, engineering and operational experience in the interstate natural gas transmission industry. He previously served as the Director of Strategic Planning for the CMS Panhandle Companies, whose assets included the Trunkline LNG receiving terminal in Lake Charles, Louisiana. The majority of his engineering and operational experience was in the market area of Texas Eastern Transmission Corporation, a former Panhandle affiliate, where he directed FERC certificated facility expansion throughout the Northeast and New England. Mr. Teague received a B.S. in civil engineering from Louisiana Tech University, and his M.B.A. from Louisiana State University.
Don A. Turkleson is a Director of our general partner.
He became a Senior Vice
President of Cheniere in May 2004, relinquished the position of Treasurer of Cheniere in December 2004 and relinquished the position of Secretary in September 2006. He served as Senior Vice President and Chief Financial
Officer through March 2009. Prior to joining Cheniere in 1997,
Mr. Turkleson was employed by PetroCorp Incorporated from 1983 to 1996, as Controller until 1986, then as
Vice President—Finance, Secretary and Treasurer. From 1975 to 1983, he worked as a Certified Public
Accountant in the natural resources division of Arthur Andersen & Co. in Houston. Mr. Turkleson received a
B.S. in accounting from Louisiana State University. He is a director and past Chairman of the Board of
Neighborhood Centers, Inc., a nonprofit organization.
Anne V. Vaughan is Corporate Secretary of our general partner. Ms. Vaughan is Assistant General Counsel and
Secretary of Cheniere. From April 2000 until joining Cheniere in June 2006, she served as an Attorney and a
Senior Attorney with Burlington Resources Inc., a large independent oil and gas company acquired by
ConocoPhillips in March 2006. From October 1996 to April 2000, Ms. Vaughan was an associate with the law
firm of Chamberlain, Hrdlicka, White, Williams & Martin in Houston, Texas. She received a B.S. in psychology
from Tulane University and a J.D. from the University of Texas.
Walter L. Williams is a Director of our general partner. Mr. Williams has served as Vice Chairman of the
board of directors of Cheniere from June 1999 to June 2008. He served as President and Chief Executive Officer of Cheniere
from September 1997 until June 1999 and as Vice Chairman of the board of directors of Cheniere from July 1996
until September 1997. Prior to joining Cheniere, Mr. Williams spent 32 years as a founder and later Chairman
and Chief Executive Officer of Texoil Company, a publicly-held Gulf Coast exploration and production
company. Prior to that time, he was an independent petroleum consultant. Mr. Williams received a B.S. in
petroleum engineering from Texas A&M University and is a Registered Engineer in Louisiana and Texas. He is currently serving on the Dwight Look College of Engineering Advisory Council at Texas A & M University and has previously served as a director and member of the Executive Committee on the Board of the Houston Museum of Natural Science.
